1. Agreement to Terms
These Terms of Use ("Terms") are a binding agreement between you and Telos Intelligence ("we", "us", "our") governing your access to and use of Telos Brief and any related websites, applications, and services (collectively, the "Service"). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
2. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the information you provide, for keeping your account credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. The Service
Telos Brief lets you generate configuration files and related materials for AI coding assistants and agents from inputs you provide, such as screen recordings or typed descriptions of your work ("Input"). We may modify, suspend, or discontinue any part of the Service at any time.
4. Your Content
You retain all ownership rights in your Input and in the configuration files and other outputs generated for you ("Output"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and transmit your Input and Output solely as needed to operate, secure, and improve the Service and to provide it to you.
You represent and warrant that you have all rights necessary to submit your Input and that your Input and its processing do not violate any law or infringe the rights of any third party.
Source media (such as uploaded video, extracted audio, and sampled frames) is deleted after your brief is generated. Generated Output is retained so that you can access and download it.
5. Your API Keys
If you choose to process a brief using your own third-party AI provider keys, you authorize us to use those keys solely to process your requests. Keys are encrypted at rest. You are solely responsible for all usage, fees, and compliance associated with your own provider accounts, and for complying with those providers' terms.
6. Acceptable Use
You agree not to:
- upload or submit content you do not have the right to use, or that is unlawful, infringing, or harmful;
- use the Service to violate any applicable law or regulation, or the rights of others;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- reverse engineer, scrape, overload, disrupt, or interfere with the Service or its security;
- resell or provide the Service to third parties except as expressly permitted.
7. AI-Generated Output
The Service uses artificial intelligence, which is probabilistic and may produce inaccurate, incomplete, or unexpected results. Output is provided for your review and does not constitute professional advice. You are responsible for reviewing, testing, and validating any Output before relying on or deploying it. We do not warrant that Output is accurate, error-free, or fit for any particular purpose.
8. Intellectual Property
The Service, including its software, design, and trademarks, is owned by Telos Intelligence and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Service. You may not use our name or marks without our prior written consent.
9. Third-Party Services
The Service relies on third-party providers (for example, AI model, transcription, storage, and hosting providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
10. Fees
Some features may be offered for a fee. Where fees apply, we will disclose them before you incur them. Except as required by law or expressly stated, fees are non-refundable.
11. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELOS INTELLIGENCE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.
13. Indemnification
You agree to indemnify and hold harmless Telos Intelligence and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Input, your use of the Service, or your violation of these Terms or any law or third-party rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws applicable at Telos Intelligence's principal place of business, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute, except where prohibited by applicable law.
